Changing a company’s objects in Egypt links business expansion to its legal file. If a software company wants to sell devices or a services company wants to add a new line, an agreement among shareholders or a website description is not enough. Review the current objects, adopt the required corporate resolution, amend the company documents, and complete the licences and approvals that apply.

Practical approach: compare the proposed activity with the company’s current objects; check sector approvals; prepare the resolution and supporting documents; complete approval, authentication and commercial-register annotation as required by the company form; then update the operating records before beginning regulated activity. The final route depends on the company’s legal form, current constitutional documents and proposed activity.

Add an activity or replace the original business?

Describe what the company will actually do: the product or service, the customer, whether it sells on its own account or acts for others, and whether the expansion includes importing, manufacturing or a regulated service. This turns a broad business idea into an activity that can be reviewed and drafted accurately.

Adding a complementary activity differs from replacing the original one. Amendments are governed by the rules for the company’s legal form and the authority competent to approve the decision. Do not copy another company’s minutes without review. Check the Companies Law No. 159 of 1981 and its Executive Regulations through the General Authority for Investment (GAFI).

Three checks before preparing the amendment

  • Valid corporate approval: identify who has authority, how notice must be given, the agenda, quorum and required majority under the law and the company’s documents. A manager’s signature alone does not amend every company’s objects.
  • Eligibility of the activity: review any requirements concerning the activity, ownership, capital or legal form rather than relying on a broad phrase such as “all commercial activities.”
  • Suitable premises: distinguish the company’s registered address from the site where the activity will be carried out. The expansion may require different premises, equipment or a licence.

GAFI’s 2026 Investor Services Centre guide indicates that approval from the competent authority may be required depending on the activity. Adding an activity to the company’s documents does not replace a licence to conduct it.

Documents: a core file plus case-specific attachments

For an initial review, collect the current articles of incorporation or statute and all amendments, a recent commercial-register extract, tax information and a clear description of the proposed activity. Compare the file with the requirements for the relevant service.

For GAFI’s service concerning approval of extraordinary general meetings and amendments to capital companies, the published list includes signed meeting minutes, a recent commercial-register extract (not more than three months old), meeting notice and attendance or proxies as applicable, the draft amendment, applicant identification and payment receipt. The case may require further approvals or enquiries. Do not treat this list as universal for partnerships, one-person companies or free-zone entities.

Label each version by date and identify the latest effective wording of the objects clause. Delays often begin when the proposed activity is compared with an old version that omits later amendments.

Steps to amend a company’s objects

  1. Compare the existing wording with the proposal: record the current objects, the new activity and any wording to retain or remove.
  2. Resolve approvals: determine what is needed before the amendment is approved and what is needed before operations begin. Confirm activity-specific requirements early.
  3. Adopt the proper resolution: follow the meeting and decision process for the company, record the amended clause and authorize the person who will complete the filing.
  4. Complete the official route: for the capital-company route described in GAFI’s guide, approval of the minutes and amendment is followed by authentication, notarization and commercial-register annotation; publication requirements depend on the case.
  5. Align operating records: review tax registration, activity licences, bank records, contracts and invoices affected by the amendment, assigning a responsible person to each update.

Use the Egyptian Tax Authority’s guidance for taxpayer data updates and the correct channel for the company’s registered tax system. Do not assume the amendment is automatically transmitted to every authority.

Example: from software development to selling devices

A software company is asked to supply hardware with its programme. Before committing, it distinguishes resale of devices it owns from importing devices, maintenance and installation. It then compares each activity with the current objects and checks the applicable operating conditions. The corporate documents and commercial paperwork should reflect the activity the company will actually perform.

This is a suggested review method, not advance approval for any particular activity. Keep a list showing the activity, any approval, the evidence of completion and the person responsible for follow-up.

Timing and cost: what to clarify in an engagement

Ask for a breakdown separating document review and drafting from official fees, authentication, publication, commercial-register work and any required licences. Confirm when the estimated timeline begins: after a complete file is delivered or at the first enquiry.

Do not base a launch date only on the time needed to approve meeting minutes. Amending the file and lawfully operating the new activity may require steps with other authorities. Specify tangible deliverables, such as approved minutes, amended articles and an updated register extract, rather than simply “application submitted.”

Common delays

  • Starting the new activity before identifying its licences and approvals.
  • Using marketing language that does not describe the actual transaction or service.
  • Different objects wording in the minutes, amendment deed and submitted copies.
  • Omitting a prior amendment or failing to prove the signatory’s authority.
  • Treating the updated commercial register as the end of the process without checking tax and operational records.
  • Adding unnecessary activities that make the applicable requirements harder to identify.

Frequently asked questions

Must the company form a new entity to add an activity?

Not necessarily. First assess whether the existing company can be amended. Activity requirements, legal form and ownership may affect the choice between amending the entity and forming another one.

Is shareholder approval enough?

It is one part of the process where the shareholders are the competent decision-makers, but it does not replace any required approval, authentication, registration or operating licence.

Will the bank update the company file automatically?

Do not assume so. Ask the bank which documents it needs to update the activity and company details, and keep proof that the update was completed.

What if the company is foreign-owned?

Review activity-specific ownership rules, approvals, representative authority and foreign-document requirements where applicable. Permission to establish a company does not automatically mean every new activity has the same conditions.
