A commercial contract should make the parties’ promises, payment and remedies clear before anyone signs or starts work. A short review can reveal missing terms that later become expensive disputes. Use this checklist to organise questions; it does not replace advice on the specific transaction or applicable Egyptian rules.
Confirm the parties and authority
Check each party’s exact legal name, registration details, address and legal form against reliable records. Confirm that the person signing has authority and that any approval required by the company’s documents has been obtained. Make sure the contract names the correct contracting entity, especially where a brand, branch, group company or individual is involved.
Describe the deal precisely
State what goods or services will be delivered, in what quantity and quality, where and by when. Attach specifications, drawings, scope statements or service levels and identify the controlling version. Set a process for written change requests, price adjustments and schedule extensions. Explain how delivery, inspection, acceptance and correction of defects will work.
Make price and payment workable
Specify the amount, currency, taxes, invoices, payment dates, bank details and any advance or installment milestones. Tie payments to objective evidence. Clarify expenses, withholding or other charges where relevant, and state what happens if an invoice is disputed. Do not leave important numbers or dates to later agreement.
Allocate risk and set remedies
Review warranties, liability limits, indemnities, insurance, confidentiality and ownership of intellectual property. Include realistic deadlines for performance, notice of delay, cure periods, suspension, termination and return of materials. Define force majeure or other events that may affect performance and what the parties must do when they occur.
Plan for disputes and signing
Choose governing law and dispute resolution with the parties’ locations and enforcement needs in mind. Identify the language versions and whether one controls. Confirm that annexes are complete, cross-references work, signatures and dates are present, and each party receives the same final copy.
Final checks
- Are all blanks, tracked changes and comments resolved?
- Do the contract and annexes match the commercial proposal?
- Are notices, renewal, termination and dispute procedures clear?
- Have required licences, approvals or supporting documents been checked?
