A foreign-company branch is not a new Egyptian company; it is an extension of the parent in Egypt. It may suit a foreign company with a specific contract or activity to perform locally, but not every independent long-term project or new local partnership.
When to consider a branch
- An existing foreign company can prove its legal status and the authority of its representative.
- A contract or activity can lawfully be carried out in Egypt.
- The parent intends to manage the operation directly and bear its obligations.
Documents commonly required
Recent official parent-company formation and constitutional documents; a properly approved resolution to open the branch, appoint its manager, and define authority; the contract or basis for the branch’s activity where required; a power of attorney for the lawyer or filing representative; manager and premises records; and authentication and legal translation of foreign documents.
Parent-company responsibility
The branch has no separate legal personality from its parent, so its obligations are connected to the parent. Review governing law, guarantees, tax, remittances, social insurance, and employment obligations before registration.
Manager, work, and residence
A foreign manager may need separate work and residence procedures. GAFI’s guide lists branch registration and the manager’s work-permit services separately, confirming that commercial registration alone does not complete the manager’s status.
Branch or subsidiary?
A branch remains part of the parent and its scope is tied to the registered activity or contract. An Egyptian subsidiary is a separate legal person, may support local partners, and can operate within its objects and licences. Compare liability, activity, and ownership plans before choosing.
