A settlement can save time and preserve a commercial relationship, but vague wording can move the dispute into a more difficult stage. A settlement agreement in Egypt should state what has been resolved and what remains, who pays whom and when, when a release takes effect, and what happens if a party does not perform. Do not rely on a general statement such as “the parties have settled and have no claims” before receiving the agreed consideration.

Define the dispute covered by the agreement

Identify the contracts, invoices, lawsuits or claims involved, and name the parties and their capacities. If the company has multiple dealings with the same counterparty, say whether the settlement covers one file or all dealings. A broad waiver may include a right that a party did not intend to give up.

Check the signatory’s authority

Verify the company’s representation documents and the limits of any authorization. If signing for another person, confirm that the power of attorney permits the relevant disposition. Internal approvals may also be required depending on the entity type and its constitutional documents. A manager’s signature on a settlement document does not always resolve every question of authority.

Make payment measurable

• Amount, currency, transfer method and beneficiary account.
• Number of instalments, due date for each, and how receipt will be evidenced.
• Any discount or waiver and the conditions for obtaining it.
• Security provided and the steps for issuing or returning it.
• Consequences of non-performance and any agreed cure period.

If the settlement includes delivery of equipment or documents, attach a clear list, a handover record and an acceptance standard. Do not tie payment to an unknown event that can be postponed indefinitely.

Link any release or waiver to performance

State whether the release takes effect on signing, after full payment, or progressively with each instalment. Address pending lawsuits, securities and costs. The effect of a breach should be stated clearly; do not assume that all original rights automatically revive regardless of the settlement’s wording.

Can mediation help?

Mediation may help the parties reach practical terms with a mediator’s assistance. The Cairo Regional Centre for International Commercial Arbitration (CRCICA) provides mediation rules. Reaching agreement does not remove the need to review and draft the terms or to confirm how the settlement can be given appropriate enforceable status where the requirements are met.

Is a private agreement always an enforcement instrument?

No. The agreement’s legal effect and whether it supports compulsory enforcement depend on its form, applicable legal provisions and required procedures. Notarization or recording the settlement before a court may have important effects, depending on the case. Distinguish a document that proves an obligation from an instrument that permits compulsory enforcement to begin directly.

Frequently asked questions

Should we withdraw the lawsuit as soon as the other party promises to pay?

Review the security, payment dates and effect of withdrawal before taking action. A promise alone may not replace protection already in place.

Does a criminal settlement resolve all civil claims?

Do not assume that settlement has the same effect across different legal tracks. Review the type of offence, if any, the wording of the settlement and any separate civil claims.
