A breach of contract may cause loss, but proving the breach alone does not always establish entitlement to the full amount claimed. A claim for compensation for breach of contract in Egypt should identify the obligation, the breach, the loss and the connection between them, while reviewing notice requirements, contract terms and possible defences. A well-organized calculation explains the claim better than a large figure without supporting records.
Start with what the other party actually promised
Read the contract, appendices, change orders and correspondence about extensions. Distinguish an obligation to achieve a result from an obligation to exercise due care, and a binding deadline from an initial estimate. Responsibility may also be affected if the claimant failed to perform an earlier obligation, such as paying an amount due or providing information needed for the work.
How can you prove the breach?
Use delivery and acceptance records, technical reports, correspondence and formal notices. For defective work, record the defect, when it was discovered and its effects before repair where possible, and consider whether an inspection or expert evidence is needed. A general photograph or complaint that does not identify the work that failed to meet specifications may be insufficient.
Separate each category of loss in a clear schedule
- Actual expenses, such as documented repair or completion costs.
- Amounts paid for a service or product not performed or delivered, depending on the case.
- Operating losses that can be connected to the breach through records.
- Lost profits supported by a serious probability and evidence, not a bare expectation.
For each item, state the amount, supporting document, reason and date. Avoid counting the same loss twice under different labels or including expenses that were not a direct result of the breach.
Is an agreed penalty always awarded in full?
An agreed compensation clause does not remove the court’s statutory authority. Entitlement may be affected by proof that no loss occurred, and the amount may be reduced where the legal grounds for reduction apply, including a substantial excess or partial performance under the applicable rules. An increase above the agreed amount is not presumed without meeting its legal conditions.
Notice and circumstances preventing performance
Check whether a formal notice is required, how it should be given and whether an exception applies. Then review any force-majeure or external-cause defence and whether the claimant contributed to the loss. Calling an event “exceptional” or “force majeure” is not enough; its effect on the obligation and the contract and statutory provisions must be analysed.
Practical example
A company whose supplier delayed equipment delivery may collect the supply contract, delivery schedule, notice, substitute-purchase invoices and downtime records. A loss on another contract requires evidence connecting it to the delay, showing whether it was foreseeable and addressing the liability terms. Not every loss the company suffered that month should be treated as compensation payable by the supplier.
Frequently asked questions
Can I request performance and compensation together?
This may be possible depending on the obligation, the loss and the relief sought. Primary and alternative requests should be framed to avoid conflict or double recovery.
Does termination alone compensate every loss?
Termination and its consequences are related to, but distinct from, a compensation claim. Each request needs a clear legal basis and suitable documents.
