Many formation steps can be handled through an attorney-in-fact, but a general or narrowly worded power of attorney may be rejected by GAFI, the notary or a bank.
Common powers
- Form companies and sign constitutional documents.
- Appear before GAFI, the Notary and Commercial Registry.
- Reserve names and approve capital, activity and management provisions.
- Receive documents and pay fees.
- Deal with tax, insurance and licensing bodies where authorised.
- Delegate powers where the investor expressly permits it.
Self-contracting
If the attorney-in-fact will also be a partner, the instrument should expressly address contracting with oneself and third parties as required for the transaction.
Overseas legalisation
The document normally passes through the competent authority in the country of issue, Egyptian consular legalisation or the applicable treaty route, local authentication where required, and certified Arabic translation.
