مشروع سكني حديث يعبّر عن التنازل عن الوحدة العقارية قبل الاستلام

Last legal review: October 5, 2026 — Reviewed by Tarek Ibrahim, Attorney and Managing Director of Legal Protector.

Assigning a property unit before handover is not simply a paper signed between the original buyer and a new buyer. In many projects, transfer of the contractual position depends on the developer’s approval, payment of instalments and fees, and submission of specified documents. The contract or project rules may also prohibit assignment for a period. Review the contract and unit file before paying any amount.

What does assignment before handover mean?

It is the transfer of the original buyer’s contractual position to another person before final delivery or registration. The new buyer assumes not only rights but also obligations under the existing contract, including instalments, payment dates, finishing conditions and maintenance duties.

Start with the original contract and project rules

Check the assignment clause: is written consent required, is there a lock-in period, must a percentage of the price be paid, and does the developer charge an administrative fee? For projects of the New Urban Communities Authority or other public bodies, the tender booklet and allocation decisions are central parts of the file and may impose restrictions separate from the parties’ agreement.

Key documents to review

  • The original reservation or sale contract and all amendments.
  • Receipts for the deposit, instalments and maintenance.
  • A current financial statement from the developer showing the balance and arrears.
  • The allocation letter, unit details and project rules.
  • The developer’s or owner authority’s consent to the assignment.
  • Identification documents and any powers of attorney.
  • Evidence that there has been no prior assignment, attachment or dispute.

Do not pay the full price before approval

A private agreement between seller and buyer may not bind the developer. Link payments to clear milestones: document review, receipt of a current financial statement, acceptance of the assignment application, then execution of final forms and update of the owner details in the developer’s records.

Who pays instalments and fees?

Set a precise cut-off date for instalments due before and after the assignment, and allocate assignment fees, maintenance, deposits, taxes and late charges. Do not rely on a general statement that the unit is “free of claims” without a document from the authority holding the file.

Common risks

  • A contractual prohibition on assignment.
  • Outstanding amounts or cheques not returned to the original buyer.
  • A mismatch between the unit number or area in the contract and plan.
  • A preliminary agreement followed by the developer’s refusal to approve the transfer.
  • A power of attorney that does not authorize assignment or has expired.
  • No clear allocation of delivery delay or compensation claims.

Drafting the assignment agreement

Identify the parties, unit, original contract, price, payment method and balance with the developer. Where required, make the transaction effective only upon official approval. Also state how payments will be refunded if approval fails because of the seller or a prior breach.

Before signing

  1. Review the contract and project rules.
  2. Request an up-to-date financial statement.
  3. Confirm the seller’s authority to assign.
  4. Learn the fees and timing before agreeing on the price.
  5. Do not release the final amount without clear approval and handover documents.

Frequently asked questions

Is a private assignment agreement enough?

It may create obligations between the parties, but it does not guarantee that the developer will update the unit file where approval is required.

Can a unit be assigned while instalments remain?

Possibly, depending on the contract, if the balance is identified and the developer accepts the transfer of the payment obligation.

Who pays the assignment fee?

The agreement should say so expressly. Confirm the amount with the project authority before signing.

Note: Procedures differ between private projects and units allocated by public authorities. Review the specific unit contract.
