Egypt’s one-person company lets a single investor form a separate legal entity without adding a nominal partner. Unlike a sole proprietorship, the founder’s liability is generally limited to the capital allocated to the company, subject to cases where the separation is misused.
When it may fit
- One founder wants control over the company.
- The project should be separated from personal assets.
- The activity does not currently require partners or a complex share structure.
- Future conversion may be considered if genuine investors join, following the required procedures.
Capital and core documents
GAFI’s 2026 guide refers to a bank certificate showing deposit of the full capital, with a stated minimum of EGP 1,000, subject to any higher activity-specific minimum. The legal minimum may not be commercially or bankingly sufficient. Common records include name clearance, the foreign founder’s passport, valid formation power of attorney if using an agent, bank deposit certificate, security-inquiry forms, auditor and legal-adviser details, and prior approvals for regulated activities.
If the founder is a foreign company, provide an authorized corporate resolution, current evidence of its legal status and its representative’s authority, plus required authentication and translation.
Management and liability
Define the manager, signing limits, borrowing authority, and banking powers. Do not use company funds as personal funds; mixing assets or misusing the entity may create liability and disputes.
One-person company or LLC?
For a genuinely sole investor, this form is clearer than inserting a nominal partner. Where another party will truly invest, an LLC may better reflect the arrangement. Review the activity and financing plan before choosing. Source: GAFI Investor Services Center Guide 2026.
