An Egyptian LLC is a common choice for foreign investors in small and medium projects. Its flexibility depends on a carefully drafted company agreement; otherwise, the arrangement can become a source of partner disputes.
When it may fit
- Two or more partners, subject to the statutory maximum.
- Owners want liability generally limited to their contributions.
- The project does not need a public share offering.
- A flexible operating business with clear partner arrangements.
Foreign ownership may be permitted in many activities, including full foreign ownership, but regulated sectors and prior approvals must be checked. Foreign ownership does not remove licensing requirements.
Key documents
Trade-name clearance, valid passports, authenticated and translated powers of attorney where issued abroad, auditor and legal-adviser details, security-inquiry forms for foreign partners, any prior sector approval, and valuation records for in-kind contributions.
Terms not to overlook
- Management and signing powers, including borrowing and guarantees.
- Profit distributions, reserves, and loss allocation.
- Share transfers, pre-emption, valuation, and sales to competitors.
- Deadlock, death, insolvency, or a partner’s failure to fund.
- Dispute resolution and ownership of brands, software, and customer records.
Formation and common errors
Check the activity, reserve the name, prepare powers and articles, file with GAFI, sign and pay, and register commercially. Then address tax, social insurance, licences, and operational banking. Avoid token capital, broad manager powers, no shareholder agreement, starting before licensing, and inconsistent passport-name spellings. Source: GAFI Investor Services Center Guide 2026.
