Cairo Nile waterfront representing company formation in Türkiye for trade with Egypt

Sources updated: 8 November 2026.

Short answer: An Egyptian investor may establish a company in Türkiye under the rules applicable to local investors, usually choosing between a limited company and a joint-stock company. Registration alone, however, does not make the company ready to trade with Egypt. Before the first shipment, the founders should align the corporate purpose, registered address, powers of the manager or board, tax and accounting setup, bank account, sector registrations or licences, customs classification, rules of origin and shipment documents for the relevant product.

This guide concerns a Turkish entity that will sell to or buy from Egypt. A company formed only for residence, banking or invoicing without substantive operations requires a different assessment. Before fixing the structure, review our company formation abroad and international expansion service.

The first decision: limited company or joint-stock company?

The Turkish Ministry of Trade guide published in May 2026 identifies the limited company and the joint-stock company as the most common forms. Either may be incorporated by one shareholder, and the shareholder may be a natural or legal person. A director or board member is not required to be a Turkish citizen or resident, subject to the separate rules on work, residence and regulated activities.

  • Limited company: commonly suitable for a closely held operating business. The 2026 official guide states a minimum capital of TRY 50,000, with cash capital payable within 24 months after registration. Transfers of quotas are more formal and, as a rule, involve general assembly approval and the prescribed procedures.
  • Joint-stock company: often more suitable where new investors, financing or a wider governance structure are expected. The minimum capital is TRY 250,000. One quarter of committed cash capital must be deposited before registration and the remainder within 24 months. Certain regulated activities may require this form and prior approval.

These figures were current in the official material on the article’s update date, but they should be confirmed with the competent registry and bank at filing. They do not include premises, translation, authentication, accounting or licensing costs. If the founder is an existing Egyptian company, also read Foreign Branch or Subsidiary?

What should be settled before opening the MERSIS application?

  • The proposed company name, city of the registered office and the lease or other address evidence where required.
  • A precise activity description: wholesale trade, import, export, distribution, e-commerce, logistics or agency. An overly broad clause may not cover the real transaction, while a regulated activity may require a licence.
  • Each shareholder’s percentage, capital commitment and payment method, and whether signatories act individually or jointly, including limits on borrowing, guarantees and related-party transactions.
  • Whether sales will be made directly from Türkiye to an Egyptian customer, through a distributor, or between the Turkish company and a related Egyptian entity. Each model has different contractual, tax and customs implications.
  • Whether the foreign founder will work in Türkiye. Share ownership or an office in management does not automatically authorise work; the relevant work permit or exemption must be examined against the actual role.

Documents for an Egyptian shareholder

The list varies according to whether the shareholder is an individual or a company, the competent trade registry and the activity. According to Invest in Türkiye, a foreign shareholder package commonly includes the following:

  • Individual shareholder: a valid passport, notarised Turkish translation, potential tax number, address details and residence evidence if the individual resides in Türkiye.
  • Egyptian corporate shareholder: a recent certificate showing the company’s existence, activity and authorised signatories, plus a resolution of the competent corporate body approving the Turkish company and specifying its name, activity, capital, ownership percentage and representative.
  • A specific power of attorney where a representative will handle incorporation, tax and registry steps. The granted powers should be stated expressly instead of relying on a vague general authority.
  • A document appointing the natural person who will represent the legal-entity shareholder if it takes a board seat.
  • Official Turkish translations of foreign documents after apostille, where applicable, or the alternative consular legalisation required for the issuing country and document type.

Do not commission translations before checking the spelling of names, passport numbers, the authority issuing the corporate resolution and the signatory’s capacity. A minor inconsistency can delay registration or banking. Where the process is handled by an agent, review Remote Overseas Company Formation: Power of Attorney Controls.

Steps to establish the company in Türkiye

  1. Select the form, activity and address. Check whether the activity requires approval from the Ministry of Trade or another regulator before finalising the articles.
  2. Prepare foreign tax numbers and MERSIS data. The Ministry guide explains that a foreigner requires a tax number and its connection to the system before being added as a shareholder or authorised person.
  3. Prepare the articles electronically in MERSIS. The statutory elements are recorded in Turkish and a tracking number is generated before the founders’ signatures are certified through the competent channel.
  4. Certify signatory declarations and prepare consents. Define who represents the company and the limits of authority, because these powers will affect banking, contracts and customs matters.
  5. Pay the Competition Authority share and meet capital requirements. Official guidance states a contribution equal to 0.04% of capital, while the timing of capital payment differs between limited and joint-stock companies.
  6. File with the Trade Registry Directorate. Submit the articles, corporate documents, declarations and approvals. The registration is completed, announced and the books authenticated by the registry at formation are handed over.
  7. Complete post-registration setup. Confirm the tax file, accountant, bank account, real address, electronic signature or e-invoicing where applicable, social security and sector permits before operations begin.

Official sources describe the trade registry as a one-stop shop and registration may be completed quickly when the file is complete. Commercial planning should nevertheless separate registration time from document authentication, translation, banking, licensing and operational readiness. A first-shipment date should not be based solely on a promise of “same-day incorporation.”

What must be ready before the first shipment to Egypt?

  • An international sale contract covering description, specifications, quantity, currency, delivery terms, insurance, inspection, rejection, governing law and dispute resolution.
  • A commercial invoice, packing list and transport document that consistently identify the company, transaction and product.
  • Confirmation of the customs classification and any technical, health or pre-registration requirements in Egypt and Türkiye before the final sale commitment.
  • An origin analysis showing whether the product acquires Turkish origin under the applicable rules. Shipment from Türkiye or invoicing by a Turkish company is not enough.
  • The appropriate proof of origin for preferential treatment. The Turkish Ministry of Trade confirms that the Egypt–Türkiye Free Trade Agreement has been in force since 1 March 2007, but preferences depend on compliance with the rules of origin. Egypt’s General Organization for Export and Import Control publishes the 2026 position on EUR.1 certificates and the wording required when transitional rules are used.
  • Verification that the Egyptian importer is entitled to import, or that a qualified importer will be used, with clear allocation of customs clearance, duties, valuation and original-document responsibilities.

Practical point: a Turkish company does not by itself confer Turkish origin on the goods, and the free trade agreement does not remove licences, standards or trade-remedy measures. The product, supply chain and origin proof should be reviewed for each transaction.

A work permit is not an automatic result of incorporation

The Turkish Ministry of Labour and Social Security states that a foreigner who opens a workplace and intends to work personally must obtain a work permit before starting work, after the establishment procedures have been completed. The guidance also distinguishes an active shareholder or manager from a non-resident board member or non-managing shareholder who may fall within a defined exemption. The actual role should therefore be classified before travel, signing and daily management, and company ownership should not be marketed as guaranteed residence or work authorisation.

Common mistakes

  • Copying a standard purpose clause that does not cover the real import, export or product activity.
  • Selecting a limited or joint-stock company only by reference to the lowest capital, without considering ownership, financing and exit.
  • Legalising the Egyptian corporate resolution or power of attorney without naming the country, entity and required authorities.
  • Entering a long lease or material commitment before confirming that the address, activity and licence are acceptable.
  • Treating the trade registry certificate as project completion and postponing banking, accounting, tax and compliance until after the first invoice.
  • Confusing the country of export with the origin of the goods, or claiming preferential treatment without valid proof of origin.
  • The foreign founder working in Türkiye before resolving the work permit or exemption position.

Frequently asked questions

Is a Turkish shareholder required?
Official sources apply the principle of equal treatment to foreign investors and allow a foreign natural or legal person to form a company under the general rules. Regulated activities may impose additional conditions.

Can an Egyptian company be the sole shareholder?
As a general rule, yes, in a limited or joint-stock company, provided the competent body of the Egyptian company passes a valid resolution and its existence, representation, legalisation and translation documents are prepared. See also Setting Up an Overseas Subsidiary Owned by an Egyptian Company.

Is Turkish registration enough to export to Egypt?
No. Tax, banking, contracting and sector licensing must be operational, followed by product, customs, origin and Egyptian import requirements.

Does every product shipped from Türkiye benefit from the agreement?
No. The goods must satisfy the applicable origin rules and be accompanied by the correct proof of origin, in addition to all other import conditions.

How long does the process take?
Registration may be fast for a complete file, but the commercial timeline includes Egyptian documents, authentication, translation, premises, banking, licensing and shipment readiness. Use a separate timeline for each stream rather than one headline number.

Decision checklist

  • A map of the product, customers, supply chain and customs classification.
  • A limited-versus-joint-stock comparison and an ownership, signature and exit plan.
  • An Egyptian document list identifying the issuer, authentication, translation and validity period.
  • A budget beyond capital: premises, accountant, banking, translation, licensing and operations.
  • A separate work-authorisation stream and a separate first-shipment readiness stream.
