Direct answer: An overseas company owned by an Egyptian parent needs evidence of the parent’s existence, investment powers, valid internal approval, funding, ownership and representation. A registry extract or broad power of attorney alone is insufficient. Host-country acceptance does not by itself establish valid approval within the Egyptian parent.

Start with the parent’s constitution

Review its objects, management powers and matters reserved to shareholders or the general meeting. There is no universal resolution for every entity type. Distinguish formation of a new company from subscribing for shares or acquiring an existing business: the documents and risks differ.

If the parent or its activity is regulated, assess relevant consents and disclosures before transferring money or signing commitments. Review the funding route with the bank and appropriate adviser; an internal resolution does not make every cross-border payment permissible.

What should the decision cover?

  • The jurisdiction, proposed entity, activity and form, or a controlled process for finalising them.
  • The parent’s ownership percentage and funding ceiling and currency, distinguishing equity from debt.
  • Who may sign incorporation documents and represent the parent as shareholder.
  • Proposed directors and limits on signing, borrowing and guarantees.
  • Matters reserved to the parent and monitoring of budgets and disclosures.
  • A defined implementation mandate and changes requiring renewed approval.

Obtain the host authority’s checklist for a foreign corporate founder, including document freshness, copy format and translation. For authentication or apostilles, check the countries, document type, entry into force and any objections. HCCH membership is not itself participation in the Apostille Convention, and not every document follows the same route.

Document the relationship after incorporation

Record what the parent pays for shares and what it provides as a loan, service or asset. Document intercompany services, trademark licences and financing under applicable rules, and keep accounts distinct. FATF guidance highlights tracing control through corporate layers to real natural-person owners; the ownership enquiry does not stop at the parent’s name.

Common issues and questions

Can the manager sign everything?

Check actual authority, internal restrictions and host-country requirements. A power of attorney does not cure a decision made by an unauthorised body.

Which file errors cause avoidable difficulty?

Inconsistent parent or representative names across the registry, resolution, translation and banking file, and changes to ownership or funding without updating approval. Maintain an authoritative reference version and review the complete package before authentication.
