Foreign-company formation in Egypt starts with three legal decisions, not a trade-name reservation: whether foreign ownership is allowed for the activity, which entity fits the project, and which licences must be secured before operations. A mistake can leave a registered company unable to conduct its intended business.
Can a foreigner own a company?
As a general rule, foreign investors may establish and fully own Egyptian companies in many activities without an Egyptian partner. This is not universal: regulated or special activities may have ownership limits, prior approvals, capital thresholds, or additional licensing requirements. Before transferring capital or signing a long lease, identify the activity code, regulator, ownership rules, required capital, and pre- and post-incorporation permits.
Choosing the legal form
- LLC: small and medium projects or closed partnerships; generally two to fifty partners and liability tied to each share.
- One-person company: one investor seeking a separate entity; verify the capital and activity rules.
- Joint-stock company: larger projects, multiple investors, governance, or funding rounds; broader capital and governance requirements apply.
- Foreign branch: a parent company executing a permitted contract or activity in Egypt; not legally separate from the parent.
- Representative office: market research and liaison without commercial sales or revenue.
Core documents and process
Prepare name clearance, founders’ valid passports, authenticated powers of attorney, parent-company records and resolutions where applicable, auditor and legal-adviser details, foreign-investor inquiry forms, and any activity approvals. Check the spelling of every name across documents and translate and authenticate foreign records through the correct route.

Incorporation does not itself grant residence, work authorization, or sector licences. Requirements depend on the activity, nationality, and rules in force.
