Working with an Egyptian association can help a foreign NGO reach beneficiaries and deliver a local project, but a general memorandum of understanding is rarely enough. The partnership agreement should define each party’s actual role, required approvals, who receives and spends funds, who reports, and who bears each obligation. A local partner does not automatically remove the foreign organization’s need to review its legal status.

Check the partner before committing

Review the association’s registration documents, bylaws, purposes, and operating scope. Confirm its current board and the signatory’s authority. Request project-appropriate reports, accounts, and professional references. A well-known association may still be unable to undertake a new project outside its purposes or without a separate activity authorization.

Define who does what

Separate project management from funding, monitoring, procurement, and beneficiary selection. If foreign NGO staff will work on the ground in Egypt, assess that role and any permits it requires. Calling an agreement “technical support” does not change the substance of direct implementation or staffing activity.

Core terms for the agreement

  • Project description, locations, duration, and expected results.
  • Each party’s role, limits of delegated authority, and a named contact.
  • Budget, payment schedule, and conditions for each installment.
  • Spending and procurement procedures and invoice retention.
  • Progress reports, monitoring, and account review.
  • Rules for delays, activity changes, and project termination.

Distinguish the project’s broad goal from a measurable indicator. “Promote development” alone does not say when a payment becomes due or what counts as acceptable performance.

Funding is subject to legal requirements

Review the rules for receiving funds and notifying or obtaining approval from the competent authority, the scope of the foreign NGO’s permit, and the account through which funds will pass. Do not require the local partner to spend a grant before its legal requirements are met. Set out how approval delays affect the work plan and payments instead of treating every delay as a contractual breach.

Liability, data, and project materials

Specify who owns equipment, retains beneficiary files, may use photographs, and may publish project results. Review privacy, confidentiality, intellectual property, and relevant authority requirements, especially where children or health data are involved. A general consent clause in the partnership agreement does not resolve every beneficiary-related issue.

Frequently asked questions

Is a memorandum of understanding enough to begin implementation?

Its substance, permits, approvals, and the parties’ authority matter more than the document’s title.

What happens to equipment when the project ends?

Agree on ownership, handover, or disposal, and check donor conditions, applicable law, and the permit before acting.

Legal references
