حماية الحقوق في عقود الاستثمار العقاري

Protection in a real-estate investment agreement starts by identifying what the investor is paying for: buying property, acquiring shares in a company, or funding a defined development project. Each structure carries different rights and procedures. Before transferring money, connect the agreement to the property records and the contracting party’s authority, and define contributions, use of funds, profit and loss calculations, management limits, reporting, and exit rights. A written contract regulates the relationship; it does not guarantee a profit or replace title-transfer procedures.

Identify the transaction first

  • Property purchase: verify what will be owned, the seller’s authority, delivery, and registrability.
  • Shares in a developer: distinguish ownership of company shares from the company’s ownership of project land; buying shares does not automatically allocate a unit.
  • Project participation: define each party’s contribution, work, contracting authority, and access to financial results.
  • Funding for a stated return: assess the legal characterization separately; calling periodic payments “profits” does not by itself make the arrangement a profit-sharing venture.

Documents before payment

Review identities and company records, signatory authority, land or property title and allocation documents, permits and plans, existing liens or disputes, development and finance agreements, budgets, cash flows, and customer commitments. Request current documents from the party responsible for them.

Terms that protect the investor

Set how capital may be used, approval limits, reporting and audit access, the definition and timing of distributable profit, treatment of losses and cost overruns, transfer and exit mechanisms, default remedies, notice, dispute resolution, and document access.

Do not rely on a single “guaranteed return” phrase to solve structural risks. Have the transaction classified and the documents reviewed before payment. Legal Protector can review the property, parties’ authority, and proposed agreement. General information only; no investment outcome is guaranteed.
