Choosing arbitration or litigation for a commercial dispute in Egypt depends on the contract, transaction value, location of the parties and assets. Arbitration is not guaranteed to be faster or cheaper in every case, and litigation is not automatically the right route merely because an arbitration clause exists. The better decision starts before signing and should be reviewed when a dispute arises.
What is the basic difference?
Courts exercise jurisdiction under legal rules, while arbitration is based on a valid agreement for matters that may be arbitrated. Egyptian Law No. 27 of 1994 governs arbitration in civil and commercial matters. The word “arbitration” in a contract is not enough by itself: review the agreement, its scope and validity requirements.
Review the dispute and the parties
Does the dispute involve defined payment claims, complex technical questions or several contracts with different parties? Is a party involved that did not sign the arbitration agreement? These issues affect whether claims and parties can be combined. Some matters cannot be decided through arbitration simply because the parties wish it.
Compare realistic costs
- Claim value and technical complexity.
- Number of arbitrators and any institution’s fees.
- Representation, expert, translation and witness-hearing costs.
- Language and seat of the proceedings, and travel requirements.
- Recognition and enforcement costs, including challenges.
Do not compare only the initial filing fees. A sole arbitrator may suit one dispute, while another may need different arrangements. The estimate should include steps after the award is issued.
An arbitration clause needs consistent terms
Specify the institution or rules, legal seat, number of arbitrators, language and scope of disputes. Distinguish the legal seat from the physical hearing venue, and review the law governing the contract. Using an incorrect institution name or combining conflicting provisions can create a separate dispute over the procedure itself.
Does arbitration exclude every court role?
Courts may have roles related to arbitration under the law, including certain interim measures, assistance, supervision and enforcement. Do not read an arbitration clause as eliminating all court jurisdiction. Check which authority may take the requested step without undermining the agreed route.
Enforcement matters more than the hearing location
Ask where the counterparty’s assets are and which rules or treaties may govern recognition and enforcement. An award issued in one country and enforced in another may require a separate file, translations and specified documents. Legal grounds for setting aside or refusing enforcement also differ from an appeal on the merits.
Frequently asked questions
Can parties agree to arbitration after a dispute arises?
They may be able to do so through a valid agreement defining the dispute and procedure. One party cannot impose it on the other without a legal basis.
Is every arbitration automatically confidential?
Review the applicable rules, agreement, law and disclosure or enforcement requirements. If confidentiality matters, address it clearly.
